Non-compete/Non-disclosure agreement -- put this in place as soon as another rep expresses interest BEFORE any commitments are made (verbally or in writing) and before discussing anything of substance. This document is to protect both you and the potential seller. It should also make the seller feel more comfortable in sharing his company confidential information with you. |

"Consulting agreement". This is actually what you use to "buy" the other rep's lines. You pay for his or her consulting services. NEVER buy stock or liabilities unless doing so is clearly to your benefit. If you buy assets, the I.R.S. requires you to amortize "good will" over a 14 year period. That is a killer. So you're not buying lines (as assets). You're paying the selling rep for his consulting services. He or she is NOT an employee of yours. They provide a service to you as an outside contractor. |

Employment agreement. Use this if you also hire the individual. But keep this separate from the consulting agreement. You are gaining the lines through the consulting agreement. You use this to set the terms and conditions of employment (if they become an employee of your firm). This can also be used for any employee. |

Employee non-compete agreement. A generic non-compete agreement. Duplicates much of what is in the Consulting Agreement but too much is better than not enough. This can also be used with any employee. Our thanks to Larry Kessler for most of the content of this agreement. |

to a MoveOn.org all emotion person ("rainlillie") who strayed
onto a conservative Web site defending Rosie O'Donnell as being the
"truly intelligent one" in foreign affairs. This set off a
blizzard of replies. Here is mine to ""rainlillie".

We lost in 2006 and 2008 will be the last free election in our 235-year experiment in democracy. Countless millions (whether they realize it or not) now openly follow the "teachings" of Gandhi repeated every day by thousands of Useful Idiots with electronic and print megaphones (Main Stream Media). Of all that Gandhi said in his life, these words sum up our world here at the beginning of the third millennium and the looming demise of our civilization more than anything else. This is reality. These people really do believe WE are evil. They believe we and they should, and must, die to make the world "a better place". Be scared. Be very, very scared. |
